Terms of business

1 DEFINITIONS

1.1 In these Terms of Business the following definitions apply:-

“Assignment” means the period during which the Cleaner is supplied for Cleaning Services by Haslemere HouseKeepers Ltd to render services to the Client;

“Client” means the person, firm or corporate body together with any subsidiary or associated Company as defined by the Companies Act 2006 to whom the Cleaner is introduced;

“HH” means Haslemere HouseKeepers of Haslemere, Surrey

“Cleaner” means the person introduced to the Client by HH and engaged by the Client to carry out an Assignment

“Engagement” means the engagement use of the Cleaner’s services or the services of any replacement / temporary cover Cleaner, directly by the Client;

“Introduction” means (i) the Client’s interview of a Cleaner, in person or by telephone, following the Client’s instruction to HH to supply a Cleaner or (ii) the passing to the Client of information which identifies a Cleaner; and which leads to an Engagement.

“Remuneration” includes fees, guaranteed and/or anticipated earnings, inducement payments, payable to or receivable by the Cleaner for services rendered by HH to or on behalf of the Client.

1.2 Unless the context otherwise requires, references to the singular include the plural.

1.3 The headings contained in these Terms are for convenience only and do not affect their interpretation.

2 THE CONTRACT

2.1 These Terms constitute the contract between HH and the Client for the supply of the Cleaner’s services to the Client and are deemed to be accepted by the Client by virtue of its request for, interview with or engagement of a Cleaner or the passing of any information about the Cleaner to any third party following an Introduction.

2.2 These terms contain the entire agreement between the parties and unless otherwise agreed in writing by a Director of HH, these Terms prevail over any terms of business or purchase conditions put forward by the Client.

2.3 No variation or alternation to these Terms shall be valid unless approved by the HH in writing.

2.4 These Terms of Business shall form the contract between HH and the Client, commencing on the earlier, of either, the undertaking or the Cleaner, the undertaking of a cleaning Assignment, or the Client making payment for an Assignment.

3 CONFIRMATION OF ASSIGNMENTS

3.1 Prior to the commencement of the Assignment, or if this is not practical, upon commencement of the Assignment, HH will confirm to the Client the details of the Assignment specifying the duration of the Assignment, the identity of the Cleaner, the rate charged by HH, confirmation of payment of expenses; such expenses that have been agreed for the Cleaner, any notice period to terminate the contract; which is set as a standard 2 weeks, notice period, unless under exceptional circumstances acknowledged by HH.

4 CHARGES

1 The Client agrees to pay the hourly rate. The hourly rate is collected in two parts which in turn reduces the total amount. Depending on the agreed hourly rate, £2 an hr is paid to HH (the fixed fee) and the remaining monies are paid directly to the cleaner. All charges are without tax or VAT. The fixed fee is collected by a specialist collections Company GoCardless regulated by the FCA.

4.2 The charges are paid directly to the Cleaner on a weekly basis or monthly basis if agreed between the Cleaner / HH and the Client.

 4.3 There are no rebates payable in respect of the charges of HH unless there are exceptional circumstances.  If clients cancel in the first month the monthly fee will still be charged, or, a £30 one off cleaning, arrangement fee will be charged, whichever is the greater.

4.4 Bank holidays and holiday days are not usually worked. It is not HH’s practice to work over holiday period HOWEVER this is left to the cleaner’s discretion, some do wish to work during these times and we will always help to arrange. Holiday rates can be charged at time and a half (to the cleaner only, HH fees remain unchanged) but the client will be consulted before hand. If you wish to move your day, if it falls on a holiday please just inform your Cleaner and HH, we cannot guarantee an alternative clean but will do our very best with the cleaners available to accommodate.

4.5 Cancellation of the Cleaner. Haslemere HouseKeepers needs 48 hours’ notice to cancel a clean otherwise the full hourly rate will be taken.

4.6 If any personal details of the cleaner are given out to other people looking for cleaners, bypassing Haslemere HouseKeepers, there will be a 20% yearly salary penalty charge to that individual or £1000 whichever is the greater.

6 INTRODUCTION FEES / CHARGES

6.1 The direct engagement by a Client of a Cleaner introduced and/or supplied by HH, or the introduction by the Client of a Cleaner to any third party resulting in an unauthorised Engagement renders the Client subject to the payment of an introduction fee, calculated at 20% of the annual gross cost (full hourly rate) or £1000 whichever is the greater amount, if this engagement happens within 6 months of the termination of cleaning with Haslemere Housekepeers.

  1. No refund of the introduction fee will be paid in the event that the Engagement subsequently terminates.

7 LIABILITY

7.1 Whilst every effort is made by HH to give satisfaction to the Client by ensuring reasonable standards of skills, integrity and reliability from Cleaners and to provide the same in accordance with the Assignment details provided by the Client, no liability is accepted by HH for any loss, expense, damage, costs or delay arising from the failure to provide a Cleaner for all or part of the period of the Assignment or from the negligence, dishonesty, misconduct or lack of skill of the Cleaner or if the Cleaner terminates the Assignment for any reason. If HH deem any damage or loss to be a direct result of the Cleaner we will reimburse the client for their loss.

7.2 Cleaners provided by HH to the Client are deemed to be under the direction and control of the Client for the duration of the Assignment. The Client will comply in all respects with all relevant statutes, by-laws and legal requirements including provision of adequate Public Liability insurance in respect of the Cleaner. The Client shall indemnify HH against any costs, claims, damages and expenses incurred by HH as a result of any breach of these Terms of Business.

7.3 The Client shall advise HH of any special health and safety matters about which HH is required to inform the Cleaner and about any requirements imposed by law or by any professional body, which must be satisfied if the Cleaner is to fill the Assignment.

8 TERMINATION OF THE ASSIGNMENT

8.1 During the Assignment commencement date, HH and the Client shall have the right to terminate this Agreement giving written notice.

9 LAW

9.1 These Terms are governed by the law of England & Wales and are subject to the exclusive jurisdiction of the Courts of England & Wales.
